Terms and Conditions of Use for EconoPlace Effective Date: 2025/09/05
1. Introduction Welcome to EconoPlace (“the Platform”), a trademark of W-Ipp , is an online platform operated by EconoPlace (“we,” “us,” “our”). The Platform allows local businesses and independent distribution centers (“Sellers”) to sell products to end-users (“Buyers”) within their community.
By accessing or using the Platform, you agree to abide by and be bound by these terms and conditions of use (“the Terms”). If you do not agree to these Terms, you must not use the Platform.
2. Services Offered EconoPlace acts as a technological intermediary. We provide Sellers with an online space to showcase their products and provide Buyers with an interface to discover and purchase them. We are not the seller of the products and are not responsible for the quality, safety, or legality of the products listed, nor for the accuracy of their descriptions. In addition to our role as an intermediary for product sales, EconoPlace also acts as a technology platform for:
- Delivery management: Allowing Sellers to coordinate the delivery of their products with third-party drivers (hereinafter “Drivers”).
- Package delivery: Connecting users who wish to send packages with independent Drivers.
- Vehicle rental: Facilitating vehicle rentals between vehicle owners (“Owners”) and renters (“Renters”).
It is crucial to emphasize that the Platform is a simple intermediary and not the employer of the Drivers or the owner of the vehicles. EconoPlace is not a delivery service, nor is it a transportation or vehicle rental company. We act solely as a technology platform that connects users. Drivers are independent contractors and not employees, agents, or representatives of EconoPlace. Similarly, Owners involved in car rentals are independent entities.
As a Driver on the Platform, you agree to:
- Have a valid driver's license and adequate automobile insurance for the transport of goods.
- Comply with all applicable traffic and transportation laws and regulations.
- Use a vehicle that is in good working order and clean.
- Ensure that products and packages are delivered in good condition and within the agreed-upon timeframe.
- Maintain the confidentiality of customer and Seller information.
As a Vehicle Owner, you agree to:
- Possess a valid ownership title for the vehicle.
- Ensure that the vehicle is in good working order, safe, and complies with Quebec road safety standards.
- Hold commercial automobile insurance or insurance that covers third-party rentals, in compliance with the law.
- Provide accurate and complete information about the vehicle (model, year, condition, etc.).
As a Renter, you agree to:
- Have a valid driver's license.
- Comply with the rental terms established with the Owner.
- Use the vehicle responsibly and in compliance with all applicable laws.
- Be responsible for any damage caused to the vehicle during the rental period, subject to the terms of the insurance.
It is imperative to include the new services in this clause to protect the Platform from disputes related to delivery or rental.
As a Vendor of services or products, you agree to the following terms and conditions:
- 1.1. Independent Status: The Vendor is an independent contractor of EconoPlace. Nothing in these Terms shall be construed as creating an agency, partnership, joint venture, employer-employee, or franchise relationship between the Vendor and EconoPlace. The Vendor is solely responsible for their tax and social security declarations and obligations.
- 1.2. Verification and Approval: EconoPlace reserves the right to verify the Vendor's information, licenses, certifications, and experience. Approval of the Vendor account is at the sole discretion of EconoPlace and may be revoked at any time.
- 1.3. Consumer Information: The Vendor undertakes to provide all mandatory legal and pre-contractual information (where applicable, including name, address, professional status, price, etc.) to Users in accordance with applicable law.
2. Obligations and Service Quality
- 2.1. Quality and Compliance: The Vendor warrants that all Services will be provided with the professionalism, diligence, and skill expected in their industry, and will comply with all applicable laws, regulations, and professional standards.
- 2.2. Adherence to Listings: The Vendor is required to provide the Services as described in the listing published on EconoPlace.
- 2.3. Communication: The Vendor agrees to communicate with Users in a professional and timely manner, using the platform's tools if required.
3. Pricing, Payment, and Commissions
- 3.1. Price Setting: The Vendor is responsible for setting the price of their Services. The price displayed must be the final price paid by the User, including taxes (unless explicitly and legally stated otherwise).
- 3.2. EconoPlace Commission: In consideration for using the platform, the Vendor authorizes EconoPlace to deduct a commission (the "Service Fee") from the total amount paid by the User. The rate and terms of this fee are detailed in a separate Vendor Partnership Agreement, which the Vendor accepts upon enrollment.
- 3.3. Payment Terms: Payment of amounts due to the Vendor, minus the EconoPlace Service Fee, will be made according to the terms and frequency specified in the Vendor Partnership Agreement.
- 3.4. Prohibition of Circumvention: The Vendor agrees not to solicit or accept payments directly from Users for services initiated through EconoPlace, with the intent of circumventing the Service Fees. Any violation may result in the immediate suspension or termination of the Vendor account and penalties.
4. Disputes, Cancellations, and Warranties
- 4.1. Dispute Resolution: The Vendor commits to cooperating in good faith with EconoPlace and the User to resolve any dispute or claim regarding the Services provided. EconoPlace may offer mediation or a final decision in case of disagreement, which the Vendor agrees to respect.
- 4.2. Cancellation and Refund Policy: The Vendor must define a clear Cancellation and Refund Policy for their Services. This policy must be published on their profile and must comply with applicable laws, particularly regarding consumer rights of withdrawal.
- 4.3. Warranty and Liability: The Vendor is solely responsible for the execution of the Services, including any damage, loss, or harm resulting directly or indirectly from their provision. The Vendor must maintain, at their own expense, all professional insurance required for their activity.
5. Vendor Content and Intellectual Property
- 5.1. License: The Vendor grants EconoPlace a non-exclusive, royalty-free, transferable, worldwide license to use, display, reproduce, and distribute all content (descriptions, photos, logos, etc.) submitted by the Vendor on the platform, for the purpose of promoting the Services and EconoPlace.
- 5.2. Content Warranty: The Vendor warrants that they possess all necessary rights and authorizations for the content they submit and that this content does not infringe upon any third-party intellectual property rights.
EconoPlace cannot be held responsible for:
- The conduct, negligence, or actions of Drivers, Owners, or Renters.
- Accidents, damages, losses, or thefts occurring during a delivery or a rental period.
- The accuracy of the information provided by Owners regarding their vehicles.
- Any failure to comply with a legal obligation by any of the parties (licenses, insurance, etc.).
Users are required to resolve disputes directly with each other. EconoPlace reserves the right to intervene as a mediator but will not be a party to these disputes.
3. Registration and Accounts To use certain services on the Platform, you must create an account.
- Sellers and Drivers: Registration is subject to our approval. You must provide accurate and complete information and keep your profile up to date.
- Buyers: You must provide accurate and complete information, particularly for processing orders and payments.
You are responsible for the confidentiality of your password and all activities that occur under your account.
4. Seller Obligations As a Seller on EconoPlace, you agree to:
- Keep your product inventory and prices up to date.
- Ensure that all listed products comply with current regulations in Quebec and Canada, and that they are safe and of good quality. Prepare and hand over orders in a quick and professional manner, in accordance with specified delivery or pickup times.
- Manage returns and refunds in compliance with established return policies and applicable laws.
- Respect laws regarding the protection of Buyers' personal information.
5. Ordering and Payment Process Buyers order directly from Sellers via the Platform.
- Payments are processed by a secure third-party payment service (e.g., Stripe, PayPal). EconoPlace does not store your credit card information.
- In the event of a payment or refund dispute, Sellers are required to cooperate with EconoPlace and the payment service to resolve the issue.
6. Delivery and Pickup Sellers are responsible for the delivery or making orders available for pickup. Delivery or pickup conditions (fees, times, etc.) are specified by each Seller on their online store.
7. Cancellations, Returns, and Refunds The return and refund policy is at the discretion of each Seller but must comply with Quebec's Consumer Protection Act. Buyers must contact the Seller directly for any return or refund request. EconoPlace may intervene in the event of a dispute, but the final decision on the refund rests with the Seller.
8. Disclaimer of Warranties and Limitation of Liability The Platform is provided “as is.” EconoPlace does not guarantee that the Platform will be free of errors, uninterrupted, or secure.
EconoPlace cannot be held responsible for any direct, indirect, incidental, or punitive damages arising from the use of the Platform or the purchase of products through it.
9. Intellectual Property All content on the Platform, including text, logos, graphics, and software, is the property of EconoPlace or its licensors and is protected by intellectual property laws.

11. Modification of Terms We reserve the right to modify these Terms at any time. The changes will take effect upon their publication on the Platform. Your continued use of the Platform after such modifications constitutes your acceptance of the new Terms.
12. Governing Law and Jurisdiction These Terms are governed by the laws of the province of Quebec and the applicable federal laws of Canada. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of Montreal, Quebec.
